Terms and Conditions

Welcome to Miluyi Digital Solutions! These Terms and Conditions (“Terms”) govern your use of our services, including branding, graphic design, web design, digital marketing, and the purchase of digital and print media services. By engaging our services, you agree to these Terms.

1. Definitions

  • “Miluyi,” “we,” “us,” or “our” refers to Miluyi Digital Solutions, a branding and digital solutions agency based in Ibadan, Oyo State, Nigeria.
  • “Client,” “you,” or “your” refers to any individual, business, or entity engaging our services.
  • “Services” refers to branding, graphic design, website design, digital marketing, and the purchase of digital and print media products.

2. Scope of Services

Miluyi Digital Solutions provides:

  • Branding strategy and identity design
  • Graphic design (logos, social media creatives, marketing materials)
  • Web design and development
  • Digital marketing services (SEO, social media marketing, content creation)
  • Digital and print media services (business cards, flyers, brochures, banners)

3. Service Engagement & Payment Terms

3.1 Project Proposal & Agreement

  • A formal proposal detailing the scope, deliverables, timeline, and cost will be provided before the commencement of any project.
  • A signed agreement and/or upfront payment confirm the project’s initiation.

3.2 Payment Terms

  • A minimum of 70% upfront payment is required before work begins, unless otherwise agreed.
  • The remaining 30% balance is due upon project completion and before final files are delivered.
  • Payments for digital and print media services must be made in full before production or delivery.
  • Payments are non-refundable once work has commenced.

4. Revisions & Approval

  • Clients are entitled to two (2) free revision rounds per project. Additional revisions attract extra charges.
  • Once a design is approved and finalized, any further modifications will be treated as a new service request.
  • It is the client’s responsibility to review and approve all deliverables before finalization.

5. Delivery Timelines

  • Project timelines are specified in the service agreement.
  • Delays caused by late client responses, incomplete information, or additional revision requests may affect delivery dates.
  • Miluyi is not responsible for third-party delays, including print production and external hosting providers.

6. Ownership & Intellectual Property

  • Clients receive full rights to final designs upon full payment.
  • Miluyi retains the right to display completed work in its portfolio, social media, and marketing materials unless otherwise agreed.
  • Source files (e.g., PSD, AI) are not provided unless explicitly included in the service package or purchased separately.

7. Refunds & Cancellations

  • Payments are non-refundable once work has begun.
  • If a client cancels before work begins, a partial refund may be granted at our discretion.
  • If Miluyi terminates the project due to unforeseen circumstances, a partial refund may be considered based on completed work.

8. Third-Party Services & Print Media

  • Miluyi may use third-party vendors (e.g., printers, hosting services) to fulfill certain services.
  • We are not responsible for the quality, delays, or failures of third-party services.
  • Clients must approve all designs before printing. We are not liable for errors in approved designs.

9. Confidentiality & Data Protection

  • All client information and project details are treated as confidential and will not be shared without consent.
  • We comply with applicable data protection laws and ensure the security of client information.

10. Limitation of Liability

  • Miluyi is not liable for any loss, damages, or business disruptions resulting from the use of our services.
  • We do not guarantee specific results for branding, web design, or digital marketing services.

11. Dispute Resolution

  • Any disputes arising from these Terms will first be resolved through mediation.
  • If mediation fails, disputes will be resolved in accordance with Nigerian law.

12. Amendments & Updates

Miluyi Digital Solutions reserves the right to update these Terms at any time. Continued engagement with our services implies acceptance of any changes.
